Terms of Service
Last updated April 1, 2026. Please read these terms carefully before using the Theorem platform.
1. Acceptance of Terms
By accessing or using the Theorem platform, APIs, dashboards, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services
Theorem provides an AI-native financial operating system that includes autonomous agents for accounting, payments, treasury, payroll, tax compliance, and related financial operations. The Services are provided on a subscription basis and may include API access, dashboard interfaces, integrations, and support.
3. Account Registration
To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify Theorem immediately of any unauthorized use of your account.
4. Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to: (a) use the Services to violate any applicable law or regulation; (b) attempt to gain unauthorized access to any part of the Services; (c) reverse engineer, decompile, or disassemble any aspect of the Services; (d) use the Services to transmit malicious code or interfere with the operation of the platform.
5. Financial Data & Compliance
Theorem processes financial data on your behalf as a service provider. You retain ownership of all data you submit to the Services. Theorem will process your data only as necessary to provide the Services and in accordance with applicable financial regulations including but not limited to SOC 2 Type II, GDPR, and CCPA requirements.
6. AI Agents & Automation
The Services include AI-powered agents that perform automated financial operations. While these agents are designed for high accuracy, you acknowledge that: (a) AI outputs should be reviewed for critical financial decisions; (b) you maintain ultimate responsibility for financial reporting and compliance; (c) Theorem continuously improves agent accuracy but does not guarantee error-free operation.
7. Fees & Payment
Fees for the Services are set forth in your subscription agreement or order form. All fees are non-refundable except as expressly stated in these Terms. Theorem reserves the right to modify pricing with 30 days advance written notice. Failure to pay fees when due may result in suspension or termination of your access to the Services.
8. Intellectual Property
Theorem retains all rights, title, and interest in and to the Services, including all related intellectual property rights. These Terms do not grant you any rights to use Theorem's trademarks, logos, or brand features. Any feedback or suggestions you provide regarding the Services may be used by Theorem without obligation to you.
9. Confidentiality
Each party agrees to protect the confidential information of the other party using the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
10. Data Security
Theorem implements industry-standard security measures to protect your data, including AES-256 encryption at rest, TLS 1.3 in transit, and SOC 2 Type II certified infrastructure. We maintain a comprehensive security program that includes regular penetration testing, access controls, and incident response procedures.
11. Service Level Agreement
Theorem commits to 99.99% uptime for the Services, measured on a monthly basis. In the event of downtime exceeding this commitment, eligible customers may receive service credits as described in the applicable SLA addendum to their subscription agreement.
12. Limitation of Liability
To the maximum extent permitted by law, Theorem's total liability for any claims arising out of or related to these Terms or the Services shall not exceed the fees paid by you in the twelve (12) months preceding the claim. In no event shall Theorem be liable for indirect, incidental, special, consequential, or punitive damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless Theorem and its officers, directors, employees, and agents from any claims, losses, or damages arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data you submit to the Services.
14. Termination
Either party may terminate these Terms with 30 days written notice. Theorem may suspend or terminate your access immediately if you breach these Terms. Upon termination, you may request export of your data within 30 days, after which Theorem may delete your data in accordance with its data retention policies.
15. Modifications
Theorem may modify these Terms at any time by posting the revised terms on our website. Material changes will be communicated with at least 30 days advance notice via email or in-product notification. Your continued use of the Services after the effective date of any modifications constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
